Terms and Conditions

1. Scope and provider
These Terms and Conditions (T&C) apply to all contracts for the use of the software askTheodor and the associated services concluded via the website asktheodor.com.
The provider and contracting party is Dimitriou eCommerce Web Services UG (haftungsbeschränkt), Steinerne Furt 72, 86167 Augsburg, Germany, represented by its Managing Director Theodoros Dimitriou (the “Provider”).
A consumer within the meaning of these T&C is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession (§ 13 German Civil Code / BGB).
2. Subject matter
askTheodor is a local-first desktop application made available to the customer as a paid subscription. For the term of the subscription, the Provider grants the customer a simple, non-transferable right of use.
The specific scope of services follows from the service description on the website valid at the time the contract is concluded. The software is provided as a digital product; there is no entitlement to delivery on a physical medium.
3. Conclusion of contract
The presentation of products on the website does not constitute a legally binding offer, but an invitation to place an order.
By submitting the order via the payment service provider (Stripe) and clicking the button carrying a payment obligation, the customer makes a binding offer to conclude a subscription contract. The contract is formed upon confirmation of payment or provision of the licence key. The customer receives the licence key and a confirmation by email.
4. Prices and payment
The prices stated on the website at the time of the order apply. Prices are shown net; the statutory VAT applicable at checkout is added and shown before payment.
Payment is processed via the payment service provider Stripe (Stripe Payments Europe, Ltd.). Stripe’s payment and privacy terms apply in addition. The subscription is billed recurrently in advance for the respective billing period (monthly or yearly).
5. Free trial
The Provider may offer a free trial of 7 days. During the trial the software may be used without obligation.
A paid subscription only arises when the customer actively subscribes to a paid plan. A trial does not automatically convert into a paid subscription without a separate order.
6. Term and cancellation
Depending on the chosen plan, the subscription contract is concluded with a term of one month or one year and renews automatically for the respective term unless cancelled in good time.
The customer may cancel the subscription at any time with effect from the end of the current billing period. After cancellation, use remains possible until the end of the period already paid for; the right of use then ends.
The right to extraordinary termination for good cause remains unaffected for both parties.
7. Licence and rights of use
The licence key entitles the customer to use one instance of the software in accordance with the respective plan description. The customer is obliged to keep the licence key confidential and not to pass it on to third parties.
Any use, reproduction, distribution, or modification of the software beyond the contractually agreed scope is not permitted without the Provider’s prior consent.
8. Right of withdrawal
Consumers have a statutory right of withdrawal. Details and the model withdrawal form are available on our Right of Withdrawal page.
For digital content and services, the right of withdrawal may expire early if the customer has expressly agreed that performance begins before the withdrawal period expires and has confirmed their awareness that they thereby lose the right of withdrawal.
9. Availability, updates, and support
The Provider endeavours to keep the software permanently available but cannot guarantee uninterrupted availability. Maintenance, updates, and circumstances beyond the Provider’s control may temporarily restrict availability.
Because askTheodor is local-first, core functionality remains usable offline. Support is available via support.asktheodor.com or support@asktheodor.com.
10. Warranty and liability
The statutory warranty rights apply, in particular the provisions on digital products (§§ 327 et seq. BGB).
The Provider is liable without limitation for damages arising from injury to life, body, or health, and for damages based on intentional or grossly negligent breach of duty. In the case of slightly negligent breach of essential contractual obligations (cardinal obligations), liability is limited to the foreseeable damage typical for the contract. Any further liability is excluded. Liability under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.

12. Dispute resolution

The Provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
13. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only to the extent that it does not deprive the consumer of the protection afforded by the mandatory provisions of the law of their country of habitual residence.
Should individual provisions of these T&C be or become invalid, the validity of the remaining provisions remains unaffected.
